1. Payment Terms
1.1 First Payment (Deposit): 50% payable upon signing this agreement. The deposit is nonrefundable.
1.2 Final Payment: 50% payable on pre-delivery inspection by the purchaser.
1.3 The purchase price includes delivery and installation costs.
1.4 Upon receipt of a valid tax invoice, the Purchaser shall pay all amounts due without deductions or set-off.
1.5 Amendments to engraving after approval will incur an additional fee of R3000.
2. Delivery
2.1 Delivery will be made to the destination specified in the schedule on the agreed date.
2.2 Purchaser must ensure an authorised representative is available to accept delivery.
2.3 Failure by the purchaser to accept delivery may incur storage and associated delay costs.
2.4 Delivery is complete when the Purchaser or representative takes possession of the tombstone.
2.5 Risk of damage passes to the Purchaser upon delivery.
2.6 Purchaser must notify Seller of visible defects within 7 days of delivery.
2.7 Purchaser is responsible for ensuring the delivery destination is suitable and accessible.
2.8 Ownership passes to the Purchaser upon full payment.
2.9 Purchaser must arrange access and permits for installation.
2.10 Seller will repair installation defects reported within 7 days after installation.
2.11 Seller will perform initial cleaning post-installation. Further cleaning is the Purchaser’s responsibility.
3. Liability and Indemnity
3.1 Seller will supply the tombstone according to agreed specifications and shall not be liable for indirect or consequential loss.
3.2 Purchaser indemnifies Seller against claims for loss or damage unless due to Seller’s gross negligence or intentional misconduct.
3.3 Purchaser accepts that the tombstone may differ slightly from initial concepts as it is a customised product.
4. Product Warranty
4.1 Seller warrants the tombstone is supplied in good condition, fit for its purpose.
4.2 Lifelong warranty provided for foundations laid by Seller only.
4.3 Warranty excludes defects caused by modifications or improper installation by third parties.
4.4 Detailed warranty provided separately as Annexure “A”.
5. Intellectual Property
5.1 All intellectual property rights remain vested in Seller.
5.2 Purchaser may not copy, redesign, or rebuild the tombstone without consent.
5.3 Marketing materials, trademarks, and related content remain the property of Seller.
5.4 Seller may photograph installations for promotional purposes.
5.5 Removal of branding from tombstones incurs a fee of R2000.
6. Cancellation and Breach
6.1 Agreement may not be cancelled unless due to breach.
6.2 Premature termination by Purchaser allows Seller to claim full purchase price and retain any payments already made.
6.3 Breaches must be remedied within 7 days; otherwise, the non-breaching party may cancel and seek damages.
7. Domicilium
7.1 Parties choose domicilium citandi et executandi at addresses stated in the agreement for all notices and correspondence.
8. Force Majeure
8.1 Neither party is liable for delays or inability to perform obligations due to circumstances beyond reasonable control, including acts of God, strikes, civil unrest, and pandemics.
9. Indulgence
9.1 Any indulgence or latitude by Seller does not constitute a waiver of Seller’s rights.
10. Protection of Personal Information
10.1 Both parties will comply with the Protection of Personal Information Act 4 of 2013.
11. Confidential Information
11.1 Parties agree to maintain confidentiality of business information obtained through this agreement.
12. Suretyship
12.1 Signatory binds themselves as surety and co-principal debtor for the Purchaser’s obligations.
13. Entire Agreement
13.1 This agreement represents the entire understanding between parties and supersedes previous agreements or arrangements.
14. Severability
14.1 If any provision is found unenforceable, the remaining provisions remain effective.
15. Governing Law
15.1 This agreement shall be governed and interpreted according to the laws of the Republic of South Africa.
